PLEASE READ THESE TERMS CAREFULLY. By accessing Earnings Prism ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
1. Overview of Services
Earnings Prism provides a financial data platform delivering real-time signals based on SEC 8-K filings, Form 4 insider trade disclosures, and Form 13-F institutional holdings reports. The Service includes web-based alerts, AI-powered filing summaries, historical filing data, and data visualizations for 4,000+ US-listed stocks.
2. AI Disclosure & Hallucinations
Experimental Nature: Earnings Prism utilizes Artificial Intelligence (AI) and Large Language Models (LLMs) to summarize and categorize SEC filings. You acknowledge that AI is capable of "hallucinating" — generating incorrect, misleading, or incomplete information.
Verification Requirement: All AI-generated summaries are provided for convenience and high-level scanning only. You agree that these summaries must be read in conjunction with the full, original SEC filing. A direct URL to the official EDGAR® filing is provided with every article for this purpose.
User Responsibility: You are solely responsible for verifying the accuracy of any AI-summarized data against the official SEC documentation before taking any financial action.
3. No Investment Advice
Earnings Prism is a data provider and publisher of financial information, not an investment advisor. No content, AI-generated summary, or alert sent via the Service constitutes a recommendation to buy, sell, or hold any security. You agree that all investment decisions are made solely by you, and you assume all risks associated with such decisions.
4. Data Accuracy & Performance
"As-Is" Basis: We source data directly from the SEC EDGAR® system. While we use proprietary machine learning to process signals, we do not guarantee the accuracy, completeness, or timeliness of the information.
Latency: "Real-time" alerts are subject to internet latencies and SEC system delays. Earnings Prism is not liable for losses resulting from data delays or technical failures.
5. License & Restrictions
Personal Use: Your subscription grants you a limited, non-exclusive, non-transferable license for individual use only.
No Redistribution: You may not reproduce, redistribute, sell, or scrape our processed alerts for use in other applications, social media groups, or public forums without a specific Enterprise License.
Pro vs. Non-Pro: You must accurately identify your status (Professional vs. Non-Professional) as defined by exchange regulations. Misrepresentation may result in immediate account termination.
6. Subscription & Payment
By subscribing, you authorize Earnings Prism to charge your provided payment method on a recurring basis (monthly or annually) until you cancel. You are responsible for all charges incurred under your account. A 7-day free trial is available on paid plans — no credit card is required to start a free account.
7. Refund & Cancellation Policy
All Sales are Final. Because Earnings Prism provides immediate access to proprietary, real-time digital data signals and AI-processed intelligence, we do not offer refunds once a billing cycle has processed.
No Pro-rated Refunds: We do not provide refunds or credits for partial months of service or for unused accounts.
Cancellation: You may cancel your subscription at any time through your Account Dashboard. Your access will continue until the end of your current paid billing period, at which point your subscription will not renew.
Trial Cancellation: Free trial periods are provided to evaluate the service before billing begins. You may cancel before the trial ends to avoid being charged.
8. Limitation of Liability
To the maximum extent permitted by law, Earnings Prism and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, trading losses or damages resulting from AI errors) arising out of your use of the Service.
9. Account Termination
Earnings Prism reserves the right to suspend or terminate accounts that violate these Terms, including accounts used for data redistribution, unauthorized scraping, or misrepresentation of professional status.
10. Governing Law
These Terms are governed by applicable laws. Any disputes shall be resolved through binding arbitration on an individual basis. Class action lawsuits are expressly waived.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or by posting the updated Terms on this page with a new "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
